TEAYS VALLEY YOUTH SOCCER ASSOCIATION

CONSTITUTION


Article 1: Name


The name of the organization shall be Teays Valley Youth Soccer Association, hereinafter referred to as TVYSA.

Article 2: Purpose

The purpose of this organization shall be to provide any interested youth in Pickaway County the opportunity to actively participate in the sport of soccer. TVYSA will consciously foster the teaching of soccer skills, the attitudes of good sportsmanship and the promotion of soccer opportunities.

Article 3: Membership

Adult membership shall consists of those volunteers actively involved in the functions of the soccer program. TVYSA will be managed by a Board of Directors. All children in Pickaway County are eligible to play subject to age stipulations. The Board has the right to charge a fee for participation.

Article 4: Officers

The officers of the TVYSA shall be President, Vice-President, Secretary and Treasurer.

Section 1: Election of officers

A. Election of officers shall take place in November and officers shall assume office in January for a one year term.

B. No limit shall be placed on the number of years a volunteer may serve on the Board but no officer may serve in the same capacity for more than two terms consecutively.

C. Election of officers shall be by vote and a majority of votes cast shall be necessary to elect. Nominations from the floor will be accepted. Those eligible to vote will be volunteers or parents actively involved in the program.

D. Any vacancy in office shall be filled by a volunteer as authorized by the Board.

E. Written proxy votes, due to vacation or sickness, will be accepted.


Section 2: Executive Board

A. A board consisting of the elected officers shall constitute the Executive Board.

B. The Executive Board shall have the authority to conduct the business of the organization between business meetings.


Section 3: Duties of Officers

A. President: Presides at all meetings, recommends for Board approval all positions deemed necessary or advisable to aid in the functioning of TVYSA.

B. Vice-President: Performs the duties of President in his or her absence.

C. Secretary: Keeps accurate record of the proceesdings of the Board meetings.

D. Treasurer: Collects all fund and pays all bills, keeps accurate records and be prepared to give a detailed financial report at all Board meetings or when requested. Treasurer ensures two board members sign all checks or withdraw slips on behalf of TVYSA.


Section 4: Board of Directors

A. The Board of Director shall consist of all the elected officers (President, Vice-President, Secretary and Treasurer), immediate past President and active Board Members.

B. The Board of Directors shall have the authority to approve all functions of management and to hear the complaints of members.

C. Voting privileges are given to active Board of Directors who have attended each and every meeting, unless excused by the President.


Article 5: Board Meetings

Section 1. Frequency

Meetings of the Board of Directors shall be held at least annually in November at a place and time to be determined by the President.

Section 2. Attendance

All meetings are open to all members.

Section 3. Official Meetings

At least four members must be present for a Board Meeting to be declared official. Official meetings are required for the election of officers and amendments to the Constitution.


Article 6: Director Duties

In addition to the duties outlined for the elected officers, commissioners shall be appointed by the President to represent the coaches for the different divisions and to facilitate communication between the coaches and the Board of Directors. The President shall also appoint a referee coordinator. He or she shall represent the referees on the Board, devise scheduling for the referees, interpret rules and dispense information concerning the rules.

Article 7: Amendments

Any amendments to this constitution will require a thirty-day notice given prior to the vote on the amendment. Passage will require a two-thirds vote of members present at the official Board Meeting.
